Athanase’s acquisition of the shares in Catella Fondförvaltning AB completed

In accordance with a press release on June 10, 2020, Athanase Industrial Partners (“Athanase”) acquisition of 70 percent of the shares in Catella Fondförvaltning AB from Catella AB (publ) was subject to customary regulatory approvals by the Swedish Financial Supervisory Authority and CSSF in Luxembourg. All approvals have now been obtained and the acquisition has been completed.

The final consideration amounts to SEK 140 million and the total effect on profit after tax, including transaction costs, amounts to SEK -9 million of which costs of SEK 7 million were reported during the first half of 2020. The effect on profit after tax, including transaction costs, amounts to SEK -2 million during the third quarter 2020.

The strategic partnership between Catella and Athanase, through which Catella Fund Management AB intends to develop and improve the customer offering, is ongoing. During January 2022 Catella has the right to divest and Athanase the right to acquire the remaining 30 percent of the shares for a purchase price of SEK 60 million.

Arise to refinance existing secured bonds

Arise Wind HoldCo 9 AB with subsidiaries (the ”Sub-group”), wholly-owned by Arise AB (publ) (”Arise” or  the ”Company”), today entered into a binding agreement with DNB Bank ASA for a three-year loan facility amounting to MEUR 40, dedicated to the group’s own wind power production (the ”Loan”). In connection therewith, Arise calls for early redemption of its secured green bonds with a nominal value of MSEK 650 (ISIN SE0010920900) maturing in March 2021 (the ”Bonds”).
The refinancing will dramatically reduce the group’s total financing costs, which on a yearly basis are expected to decrease from close to MSEK 60 to approximately MSEK 25, incl. interest cost relating to the Company’s convertible bonds, IFRS 16 items and accrued arrangement fees. Financing costs for the group’s own wind power production, which is consolidated in the Sub-group, is expected to decrease from approximately MSEK 42 to approximately MSEK 8, incl. IFRS 16 items amounting to approximately MSEK 2 and accrued arrangement fees.

After the refinancing, the group’s own wind power production is expected to be cash flow break-even (including interest cost and scheduled debt amortisation) at an average all-in income of approximately 0.2 SEK per KWh. The corresponding pre-tax profit break-even level for the group’s own wind power production is expected to amount to approximately 0.30-0.35 SEK per KWh.
In connection to the refinancing, the Company will cancel a SEK denominated interest rate swap. Coupled with dissolution of previous arrangement fees relating to the Bonds, this will result in a one-off charge impacting pre-tax profit by approximately MSEK -35, of which approximately MSEK -33 already has been recognised in group equity in accordance with IFRS 9.

Redemption of the Bonds and cancellation of the interest rate swap will be financed through the Loan and available cash at hand. Closing of the refinancing is expected to occur on 14 October, 2020.

Arise AB calls for early redemption of its secured bonds maturing in 2021

Arise AB (publ), (”Arise”) gives notice of voluntary total redemption of its senior secured green bonds 2018/2021 with ISIN SE0010920900 (the ”Bonds”), in accordance with the terms & conditions of the Bonds.

The redemption date is set to October 14, 2020. The Bonds will be redeemed at their nominal amount, together with accrued but unpaid interest up until and including the redemption date. The redemption amount will be paid to each person who is registered as owner of Bonds in the debt register maintained by Euroclear Sweden at the end of business on the record date 7 October, 2020.
An irrevocable notice of voluntary total redemption is sent on 18 September 2020 to directly registered owners and registered authorised nominees (Sw. förvaltare) of the Bonds as of September 17, 2020 in the debt register.
In connection with the redemption, the Bonds will be delisted from Nasdaq Stockholm.

Arise signs a new full-service agreement with WP Green Service GmbH for three of its wind farms

Arise has entered into a 5-year full-service agreement with WP Green Service GmbH for its three GE wind farms, 21 turbines in total, (the ”Agreement”). The Agreement will take effect from January 1, 2021.

According to the Agreement, WP Green Service GmbH will take full responsibility for all components, while operating costs will decrease and a continued high availability level will be guaranteed.

New CFO of CA Fastigheter AB from 1 October 2020

Today we have the pleasure to announce that Pernilla Ousbäck has been appointed as the new CFO of CA Fastigheter AB, to succeed Eje Wictorson, from 1 October 2020. Pernilla, who for a long time held the position of business controller, has in addition to a solid education also a very good knowledge of CA Fastigheter’s all operations, which guarantees both stability and continued development of a very important function for the CA Fastigheter Group.

Eje Wictorson will continue to maintain the position of CFO for Claesson & Anderzén AB, previously Eje has doubled, involving the entire CA Group’s finance function. The division of work between Eje and Pernilla will certainly settle down in the next few months, but the idea is that Eje will work on more strategic issues for the real estate group while more time can be set aside for our large holdings in our other investment activities such as Catella AB, BZK Grain Alliance AB and Arise AB.
